Spanish insurer Mapfre agrees to buy Commerce Group

NEW YORK (Reuters) - Spanish insurer Mapfre SA (MAP.MC) on Tuesday said it agreed to buy The Commerce Group Inc (CGI.N) for $2.21 billion as an expansion in the U.S. insurance market.

Mapfre will pay about $36.70 in cash for each Commerce Group share, a premium of nearly 18 percent over the stock's closing price on Tuesday. It plans to finance the deal by selling $718 million of equity and issuing $1.15 billion of bonds.

Commerce Group holds a 31.5 percent market share in personal motor insurance in Massachusetts and has operations in 17 states.

The companies said the deal should add to Mapfre's earnings right away.
