In conformity with the FSA's Disclosure and Transparency Rules, we would like to
notify the market of the following:

As at 31 March 2008, Premier Oil plc's issued share capital consists of
82,118,479 Ordinary Shares of 50p with voting rights.


The above figure (82,118,479) may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Premier Oil plc under the
FSA's Disclosure and Transparency Rules.


Premier Oil plc does not hold any shares in Treasury.
