In conformity with the Financial Services Authority's Disclosure and
Transparency Rules, the issued share capital of Stagecoach Group plc as at 30
March 2008 was as follows:

Ordinary shares of
56/57th pence each

Shares held by Stagecoach Group employee benefit trusts* 5,044,816
Other shares 707,616,467
Total shares in issue as at 28 February 2008 712,661,283

* The Ordinary Shares held by Stagecoach Group employee benefit trusts do not
rank for dividend.

Each Ordinary Share in issue carries one vote in the event of a poll of
shareholders. No shares are held by Stagecoach Group plc in Treasury.

The total shares in issue has changed since 28 February 2008 as a result of
shares issued to satisfy the exercise of share options by employees.

The above shares in issue of 712,661,283 may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in,
Stagecoach Group plc under the Financial Services Authority's Disclosure and
Transparency Rules.
