                   AMEC plc - Total Voting Rights and Capital


In conformity with the Transparency Directive's regulations we hereby notify the
market of the following:

AMEC plc's capital consists of  337,894,278 ordinary shares with voting rights.

6,968,800 shares are held in Treasury.

The total number of voting rights in AMEC plc is, therefore, 330,925,478.

The figure of 330,925,478 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, the share capital of AMEC plc
under the FSA's Disclosure and Transparency Rules.
