Voting Rights and Capital



Pursuant to Rule 5.6.1 of the FSA's Disclosure and Transparency Rules, Acuity
VCT Plc notifies the market of the total voting rights of the Company.



The Company's capital consists of 19,402,384 ordinary shares of one penny each
with voting rights and 9,093,156 C shares of one penny each with voting rights.
Therefore, the total number of voting rights in the Company is 28,495,540.  The
Company does not hold any shares in treasury.



The figure of 28,495,540 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Acuity VCT Plc under the
Disclosure and Transparency Rules.
