Annual Report and Accounts

Devro plc ('the company') announces that its Annual General Meeting ('AGM')
will be held at 12 noon on 1 May 2008 at the Westerwood Hotel, St Andrews Drive,
Cumbernauld G68 0WE

Copies of the following documents arc being despatched to shareholders today:

• the Annual Report and Accounts for the year ended 31 December 2007 which also
includes the Notice convening the AGM; and

• the form of proxy for use at the AGM.

These documents have today been submitted to the UK Listing Authority and will
shortly be available for inspection at the UK Listing Authority's Document
Viewing Facility, situated at the Financial Services Authority, 25 The North
Colonnade, Canary Wharf, London E15 5HJ.

At the forthcoming AGM a proposal will be put before the shareholders to adopt a
new set of Articles of Association for the Company to ensure that the Company's
Articles of Association are consistent with those provisions of company law,
including in particular the Companies Act 2006, which have come into force since
the existing Articles of Association were adopted on 8 May 2003 (and amended by
special resolution passed on 6 May 2004) and certain provisions of the 2006 Act
which will come into force on 1 October 2008. A copy of the proposed new
Articles of Association and a copy of the Company's existing Articles of
Association marked to show the differences between those Articles and the
proposed new Articles of Association have also been submitted to the UK Listing
Authority and will shortly be available for inspection through the Document
Viewing Facility. Copies will also be available for inspection at the Company's
registered office and at the offices of Clifford Chance LLP, 10 Upper Banks
Street, London E14 5JJ during usual business hours and at the AGM from 11:45 am
until the close of the meeting.
