Notification of Transactions of Directors / Persons Discharging Managerial
Responsibility and Connected Persons
Caledonia Investments plc ('Caledonia') announces that in advance of the changes
in capital gains tax rates taking effect from 6 April 2008, Mr P N Buckley, a
director of Caledonia, has undertaken the following transactions:
(i) On 25 March 2008 Mr Buckley transferred 13,000 ordinary shares in
Caledonia Investments plc to his wife, Mrs Mary Buckley.
(ii) On 28 March 2008, Mr Buckley transferred 10,000 ordinary shares in
Caledonia Investments plc to his grandchildren.
(iii) On 28 March 2008, Mr Buckley transferred 47,373 ordinary shares in
Caledonia Investments plc to family members and various related family
trusts, of which Mr Buckley is a trustee of two, which comprise the
transfers of 1,080 shares to the RN Buckley 2004 Settlement Trust and
4,219 shares to PN Buckley's Discretionary Settlement Trust.
All the above shares are, and will remain, registered in the name of Caytrust
Finance Company Limited.
Mr Buckley's total interests in Caledonia's ordinary shares following these
transactions are as follows:
Beneficial - 479,127 shares = 0.82%
Non-beneficial - 311,500 shares = 0.53%
Options - 130,000 shares = 0.22%
Deferred bonus plan - 25,750 shares = 0.04%
This notification is made on behalf of Mr Buckley and, in relation to the
transfers of Caledonia shares as noted above, Mrs Buckley, the Trustees of the
RN Buckley 2004 Settlement Trust and the Trustees of PN Buckley's Discretionary
Settlement Trust, all as connected persons of Mr Buckley.
