TOTAL VOTING RIGHTS AND CAPITAL

In conformity with the Transparency Directive's provisions we would like to
notify the market of the following;

Close Second AIM VCT PLC's capital as at 31 March 2008 consists of 7,669,349
Ordinary shares, 8,214,295 C shares and 12,026,498 D shares, with a nominal
value of 5p each, with voting rights.  Close Second AIM VCT PLC holds 118,656
Ordinary shares in Treasury.

Therefore, the total number of voting rights in Close Second AIM VCT PLC is
27,791,486.

The figure of 27,791,486 shares may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Close Second AIM VCT PLC
under the FSA's Disclosure and Transparency Rules.
