                    CLOSE BROTHERS VENTURE CAPITAL TRUST PLC

VOTING RIGHTS AND CAPITAL

In conformity with the Transparency Directive's provisions we would like to
notify the market of the following:

Close Brothers Venture Capital Trust PLC's capital as at 31 March 2008 consisted
of 35,878,229 ordinary shares. Close Brothers Venture Capital Trust PLC holds
244,546 ordinary shares in Treasury.

Therefore the total number of voting rights in Close Brothers Venture Capital
Trust PLC is 35,633,683.

The figure of 35,633,683 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Close Brothers Venture Capital
Trust PLC under the FSA's Disclosure and Transparency rules.
