VOTING RIGHTS AND CAPITAL



In conformity with the Transparency Directive's provisions we would like to
notify the market of the following:



Close Income & Growth VCT PLC's capital as at 31 March 2008 consists of
45,333,837 Ordinary shares with a nominal value of 50p each.  Close Income &
Growth VCT PLC holds 1,066,634 shares in Treasury.



Therefore, the total number of voting rights in Close Income & Growth VCT PLC is
44,267,203.



The figure of 44,267,203 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or change to their interest in, Close Income & Growth VCT PLC under
the FSA's Disclosure and Transparency Rules.
