Voting Rights and Capital

In conformity with the FSA's Disclosure and Transparency Rules, Senior plc ("the
Company") confirms that the Company's capital consists of 394,641,091
(previously 391,001,698) Ordinary 10p shares with voting rights. The Company
does not hold any ordinary shares in Treasury.

Therefore, the total number of voting rights in Senior plc is 394,641,091.

The above figure (394,641,091) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change in their interest in, Senior plc under the FSA's
Disclosure and Transparency Rules.
