In conformity with the Transparency Directive's transitional provision 6 we
would like to notify the market of the following:


Wm Morrison Supermarkets Plc's capital consists of 2,686,119,081 ordinary shares
with voting rights. Wm Morrison Supermarkets Plc does not hold any shares in
Treasury.


Therefore, the total number of voting rights in Wm Morrison Supermarkets

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
