De La Rue plc's share capital as at 31 March 2008 comprises 149,842,853 ordinary
shares with voting rights. No ordinary shares are held in Treasury.


Therefore, the total number of voting rights in the Company is 149,842,853.


The above figure of 149,842,853 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, De La Rue plc, under the
FSA's Disclosure and Transparency Rules.
