WH SMITH PLC (THE "COMPANY")

Voting Rights and Capital

To conform to the Transparency Directive's transitional provision 6, the 
Company confirms that its capital consists of 157,602,215 ordinary shares of 
22 6/67 pence each with voting rights (the "Shares").

Shareholders may use the 157,602,215 Shares as the denominator for the 
calculation by which they will determine if they are required to notify their
interest in or a change to their interest in the Company under the FSA's
Disclosure and Transparency Rules.
