Shareholders of brewer S&N approve takeover

LONDON, March 31 (Reuters) - Shareholders of British brewer Scottish & Newcastle Plc (S&N) SCTN.L voted in favour its takeover by Danish brewer Carlsberg (CARLb.CO) and Amsterdam-based Heineken (HEIN.AS).

Edinburgh-based Scottish & Newcastle said that of those shareholders who voted at an extraordinary general meeting in the Scottish capital on Monday over 99.6 percent voted for the takeover.

In January, Carlsberg and Heineken agreed a joint 800 pence a share cash breakup bid for S&N valuing the brewer of Foster's and Kronenbourg at 7.8 billion pounds.

Under the bid, Carlsberg will acquire S&N's 50 percent stake in Russia-based Baltic Beverages Holding to get full control of the brewer of Baltika in the former Soviet Union, and also S&N's interests in France, Greece, China and Vietnam.

Heineken will take over S&N's British business, which includes Strongbow cider and John Smith's beer, along with its operations in other European markets such as Belgium, Portugal and Ireland, plus its United States and India businesses.
