                           CAROLYN MCCALL STEPS DOWN
                              FROM BOARD OF TESCO


Carolyn McCall, Chief Executive of Guardian Media Group plc (GMG), has today
announced that she has resigned as a non-executive director of Tesco plc.

McCall has taken the step to avoid a conflict of interest following Tesco's
decision to pursue legal action against the Guardian newspaper.

Carolyn McCall said: "It is with regret that I have decided to resign from the
Tesco board, but given the clear conflict of interest it would be inappropriate
for me to continue in the role."
