    Magnolia Finance VII plc Series 2006-3 EUR 10,000,000 CLIPPER Zero Coupon
                Principal Protected Notes due 2015 (the "Notes")



                               ISIN: XS0261955198



Notice is hereby given to the holders of the Notes that, pursuant to paragraph
4.1 of Part I of the Appendix to the Terms and Conditions of the Notes, the
Issuer will cancel EUR 10,000,000 in principal amount of the Notes on 10 April
2008 at the Cancellation Amount.



Capitalised terms used but not defined in this Notice shall have the meaning
given to them in the Pricing Supplement dated 2 August 2006 in respect of the
Notes.
