In conformity with Disclosure and Transparency Rule 5.6.1, Flomerics Group
PLC ("the Company") is required to notify the market of the following:

At the date of this announcement, the number of shares issued by the

Company is 22,735,950 ordinary shares of 1p each, of which none are held in
Treasury. All of the ordinary shares have equal voting rights and therefore the
total number of voting rights in the Company is also 22,735,950.

The above figure of 22,735,950 may be used by shareholders as the denominator
for the calculations by which they will determine whether they are required to
notify their interest, or a change to their interest, in the Company under the
FSA's Disclosure and Transparency Rules.
