Re: Appointment of new Director
The Directors of the Funds wish to announce the appointment of Gary Gladstein as
a Director to the Funds with effect from 28 March 2008.
Gary Gladstein
Mr. Gladstein is currently an independent investor and manages his own
investment portfolio. He is a retired Partner and Chief Operating Officer of
Soros Fund Management LLC. He was with Soros Fund Management from 1985 until
2000 and continues to serve as a consultant to the Firm. Formerly, he was Chief
Financial Officer at Kohlberg Kravis & Roberts. Long active in business and
philanthropic affairs, Mr. Gladstein serves on public corporate boards including
Mueller Industries, Joseph A. Bank Clothiers and IRSA Inversiones y
Representaciones Sociedad Anonima. He is also a director of several private
companies and investment funds. He is also a Certified Public Accountant and
was with Arthur Young & Co. (now Ernst and Young) from 1970 until 1983
Mr. Gladstein is active in philanthropic causes and is on the Board of the
University of Connecticut Foundation since 1998. At the University, he has
endowed the Gladstein Professorship in Human Rights, the Gladstein Professorship
in Information Technology and Innovation, and the Marsha Lilien Gladstein
Visiting Professor in Human Rights. He has also funded the Gladstein
Information Systems Research Laboratory in the University's new School of
Business. He is also a Board member of the Samuel Waxman Cancer Research
Foundation at Mt. Sinai Hospital. Additionally, he is a Director and treasurer
of the Abraham Fund Initiatives, the Hebrew Free Loan Association and BBYO.
Mr. Gladstein has a BA in Economics from the University of Connecticut and an
MBA from Columbia University. He will receive an Honorary Doctorate from the
University of Connecticut on May 10, 2008.
Mr. Gladstein has never:
(i) had any unspent convictions in relation to indictable offences; or
(ii) been bankrupt or the subject of a voluntary arrangement, or has had
a receiver appointed to any of his assets; or
(iii) been a director of any company which, while he was a director with
an executive function or within 12 months after he ceased to be a director with
an executive function, had a receiver appointed or went into compulsory
liquidation, creditors voluntary liquidation, administration or company
voluntary arrangements, or made any composition or arrangements with its
creditors generally or with any class of its creditors; or
(iv) been a partner of any partnership, which while he was a partner or
within 12 months after he ceased to be a partner, went into compulsory
liquidation, administration or partnership voluntary arrangement, or had a
receiver appointed to any partnership asset;
(v) had any public criticism by statutory or regulatory authorities
(including recognised professional bodies); or
(vi) been disqualified by a court from acting as a director or from
acting in the management or conduct of affairs of any company.
A list of past and current directorships and partnerships held by Gary Gladstein
over the past 5 years is available for inspection on request for a period of 14
days from the date of this announcement from J&E Davy, Davy House, 49 Dawson
Street, Dublin 2.
This appointment was not previously notified to the Irish Stock Exchange due to
an administrative oversight.
