Atlantic Pacific Bank to Delay Annual Meeting - Bank to Change its Name

SANTA ROSA, Calif.--(Business Wire)-- Atlantic Pacific Bank (OTCBB:APFB) today announced that it is delaying its annual meeting to Wednesday June 4, 2008. The delay is related to events associated with a recent trademark dispute surrounding the name "Atlantic Pacific Bank." Management has recently been approached by another company regarding a trademark conflict with the corporate name. Based upon discussions with legal counsel, management and the Board of Directors have agreed to avoid a formal legal challenge and have instead agreed to change the name of the bank. Charles O. Hall, President and Chief Executive Officer of Atlantic Pacific Bank stated, "it is an unfortunate situation. However, we have determined that engaging in a potentially long and expensive legal battle regarding the trademark rights surrounding the bank's name is currently not in the best interests of the shareholders." Management has engaged a brand development and marketing communications firm and is currently exploring various options, all of which are designed to enhance the bank's corporate image and presence in a global marketplace. Management and the Board of Directors were hopeful that a new name would have been selected in time for the annual shareholders meeting. However, as a result of the many issues which need to be resolved prior to submitting a new name to the shareholders for approval, management and the Board of Directors have decided to proceed with scheduling an annual shareholder's meeting and have delayed the shareholder's approval of a new name to a later date. Once a new name has been selected and sufficient legal and regulatory approvals surrounding the trademark have been obtained, a special meeting of shareholders will be announced and the new name will be presented to the shareholders for final approval.
