Anglo and Overseas Plc (the "Company")

Transaction in own shares

The Company announces that on 21 July 2008 it purchased 50,000 of its own
Ordinary shares of 10p each at a price of �0.88 per share. The shares were
re-purchased for cancellation.

The Company also announces that on 21 July 2008, 6,000 shares from treasury
have been cancelled to ensure the Company holds no more then 10% of its current
shares in issue in treasury.

Following these repurchases and cancellations the Company has 8,940,438
Ordinary shares held in treasury. The number of shares in issue is now
89,408,819. The number of shares in issue, less those held in treasury, is
80,468,381.
