Northern Foods plc announces that it has purchased the following number of its
ordinary shares of 25p each on the London Stock Exchange.

Date of purchase: 22 July 2008

Number of ordinary shares purchased: 250,000 at a price of 58.9819p

Highest price paid per share: 59.50p

Lowest price paid per share: 58.25p

Northern Foods plc intends to hold the purchased shares in treasury.

Following the purchase of these shares, Northern Foods plc holds 45,461,961
of its ordinary shares in treasury and has 468,662,510 ordinary shares in issue
(excluding treasury shares).
