Semcan Inc. Announces Completion of Sale of Nucleus Distribution Inc.

  TORONTO, ONTARIO, Apr 29 (MARKET WIRE) -- 
Semcan Inc. (TSX VENTURE: STT) ("Semcan" or the "Company") announced
today that it has completed the previously announced sale of Nucleus
Distribution Inc. on 27th April 2009. Under the terms of the sale, the
purchaser assumed approximately $6,500,000 of debt, including a
$2,000,000 obligation maturing on February 28, 2009, which was satisfied
at closing.

    Commenting on the transaction, Philip Jamieson, the Company's Chairman &
CEO said, "The closing of this transaction represents a significant step
in the Company's plan to reduce debt and to focus on its core North
American Environmental Engineering business."
