American Water Reports 2009 Annual Stockholder Meeting Results

VOORHEES, N.J.--(Business Wire)--
American Water Works Company, Inc. (NYSE:AWK), the largest investor-owned U.S.
water and wastewater utility company, today announced the results of the
company's 2009 stockholder meeting.

Stockholders approved the elections of nine directors, Donald L. Correll, Martha
Clark Goss, Dr. Manfred Döss, Richard R. Grigg, Julia L. Johnson, George
MacKenzie, William J. Marrazzo, Dr. Rolf Pohlig and Andreas G. Zetzsche to the
board of directors to serve until the next annual meeting of stockholders and
until their successors are elected and qualified. Each of the individual
candidates for election received at least 98 percent of the votes that were
cast.

Stockholders also approved ratification of the appointment of
PricewaterhouseCoopers LLP as the company's independent registered public
accounting firm for the fiscal year ending December 31, 2009, and the company's
Amended and Restated American Water Works Company, Inc. 2007 Omnibus Equity
Compensation Plan. Of the total 160,031,166 shares of stock held by stockholders
at the meeting record date, approximately 93 percent or 150,346,308 were
represented in person or by proxy at the meeting.
