Pendragon advises that, pursuant to the FSA's Disclosure and Transparency
Rules, it was notified on 1 June 2009 that following a transaction on 29 May
2009 Aegon UK Group of Companies has increased its notifiable interest in the
voting rights to above 7% of the voting rights in the issued ordinary share
capital of Pendragon.
