AMSTERDAM, June 26 (Reuters) - Fortis Holding FOR.BR will take a charge of 362 million euros ($504 million) in its first-half results after a Dutch court ordered it to pay the money to a former subsidiary.

The court order relates to preference shares issued by former unit Fortis Capital Co. Ltd. (FCCL) in 1999 for the benefit of Fortis Bank Nederland (FBN), both of which are now owned by the Dutch state following the break-up of the Fortis group in October at the height of the global financial crisis.

The shares have a first call date of June 29, and holders can exchange them for common Fortis shares, settlement of which could be in cash.

The court ruled that preference shareholders who opted for conversion must be paid, and that Fortis was obliged to pay the 362 million euros as it had committed itself "unconditionally" to do when setting up the deal 10 years ago.

Fortis said it would immediately initiate proceedings to get compensation for that amount from the Dutch state. ($1=.7177 Euro) (Reporting by Aaron Gray-Block, editing by Will Waterman)
