RELEVANT FACT
Further to relevant fact no. 110170 dated 18 June 2009, we hereby inform you
that today we transferred to Enel Energy Europe S.L. ("EEE"), on behalf of
Acciona S.A. ("Acciona") and Finanzas Dos S.A. ("Finanzas Dos"), 25.01% of the
share capital of Endesa, S.A. ("Endesa"), in line with the share sale and
purchase and asset transfer agreement signed by EEE, Endesa, Acciona and
Finanzas Dos, dated 20 February 2009 ("the contract").
As stipulated in the contract, Endesa on the same date transferred certain wind
and hydro assets in Spain and Portugal to Acciona for a total of Euro 2,634
million following adjustments as appropriate and excluding certain assets. This
price was established based on the criteria, values and multiples defined
therein and reflects an enterprise value of Euro 2,653 million, which also
reflects net financial debt (including net intra-group debt).
The assets transferred represent a total installed capacity of 1,946.6 MW,
1,095.5 MW of which are wind generated and 851.1 MW are from hydro generation,
of which 172.2 MW are from the CHP/renewables regime.
Again in line with the process defined in the contract, Acciona and Endesa have
identified the assets to be transferred at a later stage pending compliance with
the various regulatory conditions which prevented their disposal today. Said
assets represent 133.7 MW in installed capacity (131.7 MW of which are wind
generated and 2 MW are from hydro generation, with 0.7 MW from the CHP/renewable
regime). Their total price is estimated at Euro 183 million (reflecting an
enterprise value of Euro [195] million).
This transaction will result in a gross capital gain of close to Euro 1,200
million, as reported in Endesa Group`s interim consolidated financial statements
to be released on 30 June 2009.
