Heritage Oil Plc (TSX: HOC)(LSE: HOIL) -

The Company was notified on 29 June 2009 that Salim Hassan Macki,
Director, sold 80,000 Heritage ordinary shares of no par value ("shares")
on the London Stock Exchange at an average price of 533p per share. His
notifiable shareholding in the Company following this transaction is
138,752 shares representing 0.05% of the Company's total voting rights
outstanding.

This notification is made in accordance with DR 3.1.4R (1).
