Total voting rights

In accordance with Disclosure and Transparency Rule 5.6.1, Friends Provident
Group plc (the "Company") advises that, as at the close of business on 30 June
2009, the Company's issued share capital consists of 2,340,000,000 ordinary
shares of 20p each. The Company does not hold any treasury shares. Accordingly,
the total number of ordinary shares with voting rights is 2,340,000,000.

The above figure of 2,340,000,000 may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, the
Company under the FSA's Disclosure and Transparency Rules.
