HL Ventures Enters into Binding Letter of Intent

LONDON--(Business Wire)--
HL Ventures Inc. (OTCBB:HLVN) is pleased to announce that it has entered into a
binding letter of intent governing a share exchange agreement with Urban Barns
Foods Inc., a private company. The agreement obligates both companies to
complete the share exchange transaction, subject to certain conditions and the
completion of due diligence, with the result being that Urban Barns will become
a wholly owned subsidiary of HL Ventures.

HL Ventures has already initiated the process for the share exchange by changing
its name with the Nevada Secretary of State from HL Ventures Inc. to Urban Barns
Foods Inc. The company will be filing for approval for the name change and a new
ticker symbol from FINRA shortly.
