MEXICO CITY, Sept 8 (Reuters) - Cemex, the world's No. 3 cement producer, announced on Tuesday it will sell 1.2 billion shares to pay down debt it recently restructured to avoid defaulting.

Cemex (CX.N) (CMXCPO.MX) said it would offer U.S. and local investors 1.2 billion CPO shares with an over-allotment of 180 million shares. (Reporting by Noel Randewich and Cyntia Barrera DIAZ)
