The Company's called-up share capital comprises 27,204,149 Ordinary shares of
50p each, of which 2,466,934 (9.07%) are held in Treasury and have no voting
rights.

The figure of 24,737,215 Ordinary shares having full voting rights should be
used by shareholders and others with notification obligations as their
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, the
Company under the Disclosure and Transparency Rules.
