The ADT Corporation Announces Exchange Offer Extension
The ADT Corporation (NYSE: ADT) today announced that it will extend its offer to exchange (the “Exchange Offer”) up to $700,000,000 aggregate principal amount of its outstanding $700,000,000 4.125% Senior Notes due 2023 (the “Outstanding Notes”) for a like principal amount of its new $700,000,000 4.125% Senior Notes due 2023 (the “Exchange Notes”). All other terms of the Exchange Offer, as described in the prospectus dated April 18, 2013, remain unchanged.
The Exchange Offer was scheduled to expire at 5:00 p.m. ET on May 16, 2013. As of this date, tenders of $699,700,000, or 99.96%, of the Outstanding Notes have been received. The Exchange Offer will now expire at 5:00 p.m. ET on May 17, 2013, unless further extended by ADT.
