Veolia Environnement Announces Pricing of Any and All Dollar-Denominated Cash Tender Offer

Veolia Environnement (the “Company”) today announces the consideration payable in connection with its previously announced U.S. dollar-denominated cash tender offer (the “Offer”) for any and all of its outstanding US$546,830,000 6.00% Notes due 2018 (the “Notes”). The Offer will expire at 5:00 p.m., New York City time, today, unless extended or earlier terminated.

The Offer is being made pursuant to an offer to purchase dated May 29, 2013 (the “Offer to Purchase”). Capitalized terms used but not otherwise defined in this press release shall have the meanings given to them in the Offer to Purchase.

The Purchase Price was determined in accordance with standard market practice (as described in the Offer to Purchase) at or around 12:00 p.m., New York City time, today by reference to the sum of (i) a Fixed Spread of 115 bps; and (ii) a Reference Yield based on the bid-side price of the Reference Treasury Security, as set out in the table below.
