MILAN, Nov 6 (Reuters) - Italian utilities Enel (ENEI.MI) and Gas Plus (GSP.MI) have offered under 1 billion euros ($1.5 billion) for the Italian hydrocarbon assets Eni (ENI.MI) is selling, well below Eni's expectations, two financial sources close to the matter said on Friday.

The offer of the two utilities is for two of the three asset units that oil and gas group Eni has put up for sale, they said.

In June, Eni said it intended to sell hydrocarbon assets in Italy that are marginal to its strategy. The assets have been split into three units -- one covering assets in the north of the country, one in the centre and one in the south.

"The offer is for the assets in the Po valley in the north and offshore assets in the Adriatic sea," one of the sources said.

Newspaper reports have said Eni is looking for between 1.5 billion euros and 2.0 billion for the assets.

Eni has decided not to sell the third unit in the south, one of the sources added.

Eni, Enel and Gas Plus declined to comment.

In a conference call with analysts on Wednesday, Enel Chief Executive Fulvio Conti said his group is interested in part of the assets Eni is selling.

On Wednesday, Eni CEO Paolo Scaroni said Eni expects binding offers for the assets in two or three weeks' time, adding the group would sell the assets only if offers proved satisfactory. [ID:nL4279389]

At 1148 GMT Enel shares were down 0.7 percent at 4.09 euros while Eni shares were flat at 17.22 euros. The DJ Stoxx utilities index .SX6P was 0.4 percent lower. (Reporting by Stephen Jewkes; Editing by David Holmes) ($1=.6734 Euro)
