 NEW YORK, May 12 (Reuters) - Some U.S. stocks to watch on
Tuesday:
 BANK OF AMERICA CORP (BAC.N)
 The bank sold $7.3 billion worth of shares in China
Construction Bank, according to a source familiar with the
matter. The shares were sold for HK$4.20 each, which represents
a 14.3 percent discount to their Monday close. [ID:nHKG158391]
 Shares of the Dow component fell 5.5 percent to $12.22.
 CITIGROUP INC (C.N)
 The bank said the committee overseeing its use of $45
billion of taxpayer money had approved the use of nearly all
that sum to make loans. [ID:nN12290836]
 Shares of the Dow component fell 3.1 percent to $3.74.
 U.S. BANCORP (USB.N)
 The bank sold $3.5 billion of stock and bonds in a move to
repay a taxpayer bailout. [ID:nN12298859]
 Shares fell 5.6 percent to $17.46.
 ALPHA NATURAL RESOURCES INC (ANR.N)
 FOUNDATION COAL HOLDINGS INC (FCL.N)
 Alpha said it would buy Foundation Coal for $2 billion in
stock, or $32.73 a share, a 41 percent premium to Foundation's
Monday closing price of $23.24. [ID:nBNG366514]
 Shares of Alpha fell 10 percent to $25.89 while Foundation
shares gained 16 percent to $26.88.
 GENERAL MOTORS CORP GM.N
 Shares of the Dow component tumbled to a 76-year low, and
were down 22 percent to $1.13 a day after a group of executives
disclosed that they had sold shares in the automaker.

 BIOGEN IDEC INC (BIIB.O)
 Investor Carl Icahn wants the board of directors to
consider splitting the biotech company in two, with one firm
focused on neurology and another focused on cancer.

 Shares fell 1.8 percent to $48.27.
 HAYES LEMMERZ INTERNATIONAL INC HAYZ.O
 The auto parts maker filed for Chapter 11 bankruptcy.

 FORD MOTOR CO (F.N)
 The auto company late Monday said it would sell 300 million
common shares and use part of the proceeds to pay off its
healthcare obligations to the United Auto Workers under the
terms of a recently concluded deal with the union.

 Shares slid 11 percent to $5.41.
 AMERICAN INTERNATIONAL GROUP INC (AIG.N)
 The insurance company's CEO will speak out against
criticism of its employees on Wednesday and will talk about
future plans, according to a report in The Wall Street Journal.

 WARNACO GROUP INC (WRC.N)
 The apparel company reported a higher-than-expected

 Its shares fell 1.5 percent to $28.40
 NEW YORK TIMES CO (NYT.N)
 Media mogul David Geffen offered to buy a stake in the
newspaper company from hedge fund Harbinger Capital Partners,
but was rejected because the fund's manager wanted him to pay a
premium, a source with knowledge of the matter said.

 AMERICAN ITALIAN PASTA CO (AIPC.O)
 Shares of the company fell 17 percent to $26.45 after it
reported adjusted second-quarter results that missed

 GLG PARTNERS INC (GLG.N)
 The company announced the pricing of convertible
subordinated notes and said it would use the proceeds to buy a
portion of indebtedness outstanding under its credit agreement.
