UPDATE 1-Buyout group owns 99.54 pct of Endemol after offer

AMSTERDAM, Aug 6 (Reuters) - A buyout group including Italy’s Mediaset (MS.MI) said on Monday it owns 99.54 pct of shares in Dutch television production company Endemol EML.AS after it made a public offer for Endemol last month.

The group, called Edam Acquisition said in a statement 99.54 percent of Endemol shares have been tendered or committed.

It bought 75 percent of Endemol shares from Spanish telecoms group Telefonica (TEF.MC) for 2.63 billion euros ($3.61 billion) last month and about 6 percent of shares from a Cyrte investment fund.

Edam made an offer of 24.55 euros per Endemol share to acquire shares it did not yet own and the offer period expired last Friday.

Edam includes Mediaset with its Spanish TV company Telecinco (TL5.MC), Endemol co-founder John de Mol’s investment firm Cyrte, and Goldman Sachs (GS.N) investment funds. Each member holds a one-third stake in Edam Acquisition.

Edam said it will ask that Endemol be delisted from Amsterdam Euronext.
