UPDATE 2-Deltek says IPO to raise up to $171 mln

NEW YORK, Oct 15 (Reuters) -Deltek Inc said on Monday it plans to raise up to $171 million with an initial public offering of 9 million shares.

In an amended filing with the U.S. Securities and Exchange Commission, the maker of project-management software said it expects shares in the offering to be sold for between $17 and $19 each.

The company will sell 3 million shares, and stockholders -- including private equity firm New Mountain Capital and members of the firm's founding family, the deLaskis -- will sell an additional 6 million shares.

Deltek, which was previously a publicly traded company, was taken private in 2002, by members of the deLaski family. Three years later New Mountain Partners became its majority owner through a recapitalization. The deLaskis retained a stake of about 25 percent.

The Herndon, Virginia-based company said it plans to use net proceeds of its offering to pay New Mountain a $1.1 million transaction fee, and the balance to pay down debt.

For the six months ended June 30, Deltek, said it recorded a net profit of $9.6 million on revenue of $130.8 million. In 2006, the company posted net income of $15.3 million, while total revenue was $228.3 million.

Deltek's initial market capitalization will be in the region of $775 million, assuming an IPO price of $18 per share, the midpoint of its range.

Underwriters, led by Credit Suisse, have the option to purchase an additional 1.35 million shares to cover overallotments.  Continued...
