First Consulting says holders file putative class action suit

Nov 14 (Reuters) - First Consulting Group Inc FCGI.O said a putative class action lawsuit was filed against it on behalf of its public stockholders, related to the company's acquisition by Computer Sciences Corp (CSC.N) for about $365 million.

The consulting services provider said in a regulatory filing that the complaint alleges its directors breached their fiduciary duties by adopting the merger plan and approving the deal.

The complaint also alleges that the proposed merger gives the company's public stockholders inadequate consideration for their shares, First Consulting said, adding that the lawsuit is without merit and it intends to defend the action vigorously. (Reporting by Dilipp S. Nag in Bangalore)
