* Says still needs deal with Cukurova, regulatory approval in order to set up new company with Alfa Group

* Says believes in solution to Cukurova problem within 12 months

* Says new company will explore opportunities to expand into new markets

* Says has had no reaction from Cukurova

* Says clearly room for a one-time payment from MegaFon as well as regular dividend

* Says new company of Alfa, Telia assets two years away
