CHAUCER HOLDINGS PLC ("CHAUCER")
Director/PDMR Shareholding
Chaucer Holdings PLC ('Chaucer') has been notified on 10 April 2008 that, on 9
April 2008 the Trustees of the Plan purchased 23,399 Ordinary Shares of 25p in
the Company each at a price of 99.0p.
The April 2008 Plan allocation of shares and total current beneficial
shareholdings of directors, as disclosed by virtue of the provisions of the
Companies Act 1985, are as follows:-

To enable the April allocation of Matching and Partnership Shares to be made,
the Trustees transferred 46,798 Ordinary Shares of 25p each from Lloyds TSB
Registrars Corporate Nominee Limited AESOP 2 account (unallocated shares) to
Lloyds TSB Registrars Corporate Nominee Limited AESOP 1 account (allocated
shares). The transfer was made following the forfeiture of shares, under the
Rules of the Plan, by Participants who have left the Plan.
The total current beneficial interest in ordinary shares has been restated to
include beneficial interests in options and warrants over shares, which had
previously been excluded.
