Notice is hereby given that the following Replenishments and Substitutions as
set out in this Substitution Notice are to take effect with effect on 13th
December 2007 (the "Substitution Date").
Capitalised terms used in this Replenishment and Substitution Notice but not
otherwise defined shall have the meanings given to them in the Trust Instrument
dated 21st March 2006 in connection with the Notes.
With effect on the Substitution Date, the existing ABS Reference Obligations set
out in Schedule 1 hereto will be removed from the Reference Portfolio and
replaced with the new ABS Reference Obligations set out in Schedule 2 hereto.
