Notification of interests of directors/persons discharging managerial
responsibility and connected persons pursuant to DTR 3.1.4 R(1)

13 July 2009

Friends Provident Group plc announces the transfer of 37,495 shares from the
Friends Provident Employee Share Trust to the trustees of the Friends Provident
Group plc Share Incentive Plan (SIP) at a price of £0.62272 per share to
satisfy the obligation to issue shares to SIP participants in June 2009.

On 10 July 2009, the Company received notifications from the following persons
discharging managerial responsibilities that, of the 37,495 ordinary shares of
5 pence acquired by the trustees, they have each acquired shares through the
SIP as follows:
