                      APPOINTMENT OF NEW CEO OF BAXI GROUP


Baxi Holdings Limited announces that Mark Edwards, Group Chief Executive
Officer, has left the Group with immediate effect.

Mark and the principal shareholders of the Group believe that a change in
leadership is appropriate to take the Group forward into a new phase in its
development, in which growth must be balanced with a more focused approach to
cost reduction and control as markets become more competitive.

Martyn Coffey, Managing Director of the Group's UK businesses, has been
appointed Group Chief Executive Officer with immediate effect.

Baxi Holdings Limited is the parent company of Heating Finance PLC.
