Levi & Korsinsky announces that a class action lawsuit has been filed in
the Circuit Court of the State of Maryland challenging the proposed
acquisition of Foundation Coal Holdings, Inc. ("Foundation Coal" or the
"Company") (NYSE: FCL). The complaint arises out of the announcement by
Foundation Coal that it had entered into a definitive merger agreement
with Alpha Coal Resources, Inc. (NYSE: ANR) ("Alpha Coal"). Under the
terms of the merger agreement, Foundation Coal shareholders will receive
shares in the post-merger entity valued at $32.73 per share. The
complaint alleges that Foundation and its directors breached their
fiduciary duties to Foundation's stockholders and that certain
disclosures in the Registration Statement are misleading and/or
incomplete.
