American Capital public offering of common stock at $44.71

Co announced it has priced its public offering of 9 mln shares of its common stock at $44.71 per share. Of those shares, 3 mln shares are being offered directly by the Co and 6 mln shares are being offered by Citigroup Global Markets, an affiliate of Wachovia Capital Markets and an affiliate of Credit Suisse Securities (the "Counter-Parties" and each, a "Counter-Party") in connection with agreements to purchase common stock from American Capital at a future date
