UPDATE 1-HP plans to offer shareholders a say on pay

LOS ANGELES, Jan 16 (Reuters) - Personal computer maker Hewlett-Packard Co (HPQ.N) proposed on Friday that it give shareholders a say in executive compensation from 2011, though such a role would be non-binding and require shareholder approval.

Hewlett-Packard plans to propose at its 2010 stockholders' meeting that it conduct an annual "advisory vote" for shareholders on its executive compensation policies and procedures.

If shareholders approve that proposal, HP will then conduct such a vote from 2011 and every year thereafter.
