July 5 (Reuters) - Bemis Co Inc (BMS.N): * Says to buy Food Americas operations of Alcan Packaging, a unit of Rio Tinto (RIO.AX) (RIO.L) for $1.2 billion * Says deal expected to be accretive to diluted GAAP earnings per share beginning 2010 * Says deal expected to close by end of 2009 * Says expects over $65 million of annual run-rate pre-tax synergies by end of the second year * Says financing structure preserves solid investment grade credit rating * Says management to fund purchase price with $1 billion in debt and $200 million in equity
