No. 70 (SAS 70), Type II certification, performed by independent
auditors, KBA Group LLP.

   The SAS 70 Type II certification is an internationally recognized
auditing standard developed by the American Institute of Certified
Public Accountants. A SAS 70 Type II examination signifies that an
independent accounting and auditing firm has examined a service
organization's control objectives and control activities.

   Under Section 404 of the Sarbanes-Oxley Act (SOX), most companies
require a SAS 70 Type II certification report from their service
providers to evaluate controls, data centers, security, backup and
system availability. NeoSpire's SAS 70 Type II certification permits
the company to deliver confirmation of the controls required for
compliance with the Sarbanes-Oxley Act.
