Atlas Pipeline Partners Sells Gas Processing Facility to Penn Virginia Resource Partners

PHILADELPHIA--(Business Wire)--
Atlas Pipeline Partners, L.P. (NYSE: APL) ("APL" or "Atlas Pipeline") announces
that it has sold a redundant natural gas processing facility ("the Sweetwater II
facility") for approximately $22.6 million in cash. 

The purchaser, Penn Virginia Resource Partners, L.P. (NYSE: PVR), will provide
natural gas volumes to the Sweetwater II facility and will make reimbursement
for their proportionate share of plant operating expenses. APL will continue to
operate the Sweetwater processing complex following the transaction. In
addition, APL has entered into an agreement to gather gas for PVR and transport
it to the Sweetwater II facility located in Beckham County in western Oklahoma.
The property sold has been superseded by the new Nine Mile processing facility
completed earlier this year and likewise located in western Oklahoma. The
proceeds from the transaction will be used to reduce outstanding borrowings on
APL`s senior secured credit facility.

our operating expenses without compromising our revenues."

Laurel Mountain Midstream, LLC, which manages the natural gas gathering system
in that region, namely from the Marcellus Shale in southwestern Pennsylvania.
